| CALL TO ORDER | The Mill Valley School District Board of Trustees, acting as the Governing Board of the Mill Valley School District, met in special session at 6:15 PM on Tuesday, May 24, 2005, at the Mill Valley School District Administrative Office, 411 Sycamore Avenue, Mill Valley, CA. President Reynolds called the meeting to order at 6:15 PM and announced that Mr. Swartz would be participating in the meeting via teleconference from 3131 Las Vegas Blvd. South, Las Vegas, NV. |
| CLOSED SESSION | As there were no communications to the Board, the meeting was recessed to Closed Session at 6:16 PM, to consider Public Employee Employment; Title: Superintendent (Gov. Code §54957). |
| RECONVENE & REPORT OUT | Ms. Reynolds reconvened the meeting to Public Session at 6:30 PM and announced that no action was taken in Closed Session. |
| SUPT SEARCH; intent to offer contract | Ms. Reynolds reported on a team visit to the school district of Kenneth Benny, Deputy Superintendent of the Olympia, Washington SD. The following action was taken. |
| -Motion: offer contract to K. Benny | M/S/C Murphy/Swartz (5-0) to offer the position of Superintendent to Kenneth M. Benny, effective July 1, 2005. |

ADJOURNMENT |
Ms. Reynolds announced that the next regular meeting of the Board will be on Wednesday, June 8, 2005 at 7:00 PM at the Mill Valley School District Administrative Office and adjourned the meeting at 7:20 PM . |
